Board Positions Descriptions

 

 

CHIEF: The Chief shall

  1. be the corporation President and Chief Executive Officer;

  2. be the corporation Agent for Service of Process and the Chief’s residence shall be the address of the Agent for Service of Process;

  3. preside at all regular and special meetings of the Board and membership;

  4. cast a vote in any matter coming before the Board or membership;

  5. have the general supervision of the work of the Society in conjunction with the Board;

  6. enforce the rules of order;

  7. provide Society representation before government and civic boards, commissions, departments and other groups and bodies as the need arises or as directed by the Board; and,

  8. have such other powers and duties as prescribed by the Board.

 

DEPUTY CHIEF: The Deputy Chief shall:

  1. be the corporation Vice President;

  2. assist the Chief in his/her duties;

  3. discharge the duties of the Chief in the absence of the Chief;

  4. serve as Chairperson of the Activities Committee; and,

  5. perform such other duties as prescribed by the Board.

 

SCRIBE: The Scribe shall:

  1. be the corporation Secretary;

  2. call the roll of officers at each meeting;

  3. read the minutes of the previous meeting;

  4. keep accurate minutes of all regular and special membership and Board meetings;

  5. file all papers officially entrusted to him or her, unless otherwise ordered;

  6. send out all notices of meetings, elections, and installations of officers and Board members;

  7. have available a current membership roster at all membership and Board meetings;

  8. maintain a record and directory of all committee chairpersons and members;

  9. maintain all superseded and current bylaws hardcopies and computer files;

  10. have current bylaws available at all membership and Board meetings for examination by any member;

  11. distribute Bylaws, as amended or revised, to all Regular, Family, and Life members;

  12. have a current edition of Roberts’ Rules of Order Newly Revised available at all membership and Board meetings in the absence of a Parliamentarian; and,

  13. perform such other duties as prescribed by the Board.

 

STEWARD: The Steward shall:

  1. be the corporation Treasurer and Chief Financial Officer;

  2. receive all monies;

  3. pay all expenditures;

  4. co-sign all checks with the Chief, Deputy Chief, or Scribe;

  5. be responsible for adequate and correct accounts of the properties and business transactions of the Society, including accounts of its assets, liabilities, revenues, expenditures, gains, losses, and net assets;

  6. present monthly to the Board financial reports consisting of a Statement of Assets and Statement(s) of Revenues and Expenditures;

  7. present at general membership meetings financial reports consisting of a Statement of Assets and Consolidated Statement of Revenues and Expenditures;

  8. submit all reports required by government agencies;

  9. maintain all financial records, government reports and returns, insurance policies, and original contracts/agreements;

  10. be the liaison with the Society’s insurance agency;

  11. make available the books of account for inspection by any member; and,

  12. perform such other duties as prescribed by the Board.

 

SENNACHIE: The Sennachie shall:

  1. act as aide to the Chief;

  2. have charge of the meeting room and keep it in order;

  3. secure meetings from intrusion;

  4. be responsible for all society property and inventory; and,

  5. perform such other duties as prescribed by the Board.

 

GOVERNOR AT LARGE: The Governor at Large assists in the decision-making processes of, and performs such other duties as described by, the Board

 

 Candidate Prerequisites.

  1. Candidates for the offices of Chief and Deputy Chief must have served on the Board for a period of two consecutive years immediately prior to their nomination.

  2. Candidates for the offices of Scribe and Steward must have been a Society member in good standing for at least two consecutive years immediately prior to their nomination.

 

Terms of Office. All board members shall hold office for a term of two years, or until their successors are elected.
